Draft — pending legal review. Version 2.1 · Effective 20 October 2026 · Last updated 19 October 2026. This text is in force as published here; it is being reviewed by a lawyer and may be revised, and any revision that affects you will be announced as described below.

This page is written in English, and the English text is the authoritative version. It is shown in English whichever language you choose in the language switcher, with a short note at the top in your language, until translations of our policies have had legal review.

This agreement is between you — the person or organisation who publishes courses on Neda eCampus or uses Neda Creator (“you”, “the creator”) — and Neda eLearning Solutions, Austria (“Neda”, “we”). Our full details are in the Imprint.

It sits on top of the Terms of Service, which still apply to you as a user of the platform. If the two conflict on a creator matter, this agreement wins. The following pages form part of this agreement: the Data Processing Terms, the Payout Terms, the Acceptable Use and Content Standards and the Archival and Retention Policy.

We have written it in plain language on purpose. Where we use a defined term, it means what this agreement says it means, and nothing more.

1. When this agreement applies to you

This agreement applies from the moment you:

  • buy a course space or a Neda Creator plan;
  • are given creator access by us — for example, as part of a pilot or an arrangement with your organisation; or
  • are invited as a co-creator to help build someone else’s course (in which case the parts about building content, your promises and the content standards apply to you, and the parts about fees, sales and learner data do not).

If you accept this agreement for an organisation, you confirm that you are authorised to bind it. You must also meet the age requirement in the Terms of Service.

Business creators and consumer creators

Most creators publish as part of their trade, business or profession — teachers, trainers, consultants, companies, universities and non-profit organisations. In this agreement they are business creators. If you publish purely as a private individual, outside any trade, business or profession, you are a consumer creator. A few clauses work differently for consumer creators, and where they do, this agreement says so. Nothing in it takes away a right you have as a consumer under the mandatory law of the country where you live.

2. What we provide to creators

We offer creators two things. You may use one or both.

  • Course spaces. A course space is the right to publish a set number of courses on our learning platform at learn.nedaecampus.com for a set period. It comes with a place for your courses on the platform and a workspace on Neda eCampus where you describe each course, choose how learners join it, set its price if it has one, and publish, archive or delete it.
  • Neda Creator. Neda Creator, at creator.nedaecampus.com, is our tool for designing and building courses. Access to it is tied to your account: it comes with a course space or a Neda Creator plan, or we grant it to you. What your access includes, and for how long, is shown in your account.

Packages, prices and terms

Course spaces are not yet on sale. When they are, there will be three packages, each for a term of one year: Single Course Space, for 1 course, EUR 250 a year; Learning Studio, for up to 5 courses, EUR 1,100 a year; and Learning Academy, for up to 20 courses, EUR 4,000 a year. Each package includes access to Neda Creator. The package and its fee will be shown on the order page before you buy.

We do not currently charge VAT on our fees, because we use the Austrian small-business exemption. If that changes, we will tell you before it affects any price you pay.

Renewal and non-payment

Course space packages renew automatically at the end of each yearly term. The full renewal terms — the reminders we send, how you cancel, and what happens to your courses and your Neda Creator access if a renewal is not paid — will be set out here before the packages go on sale. Three things will hold in any case: we will remind you by email before each renewal and you will be able to cancel online as easily as you signed up; a missed payment never takes access away from learners already enrolled in your courses (section 5); and we will not raise a fee during a term you have already paid for.

We will announce any change to a fee by email at least 30 days before it applies to you, and you may cancel before it does.

Refunds and the right of withdrawal

If you are a consumer creator, you may withdraw from the purchase of a course space or Neda Creator plan within 14 days without giving a reason. If you ask us to start providing it within those 14 days and then withdraw, you pay only for what you received until you told us. The Refund and Withdrawal Policy explains how. Whether any other refund of a course space fee is possible, for example if you cancel part-way through a term, will be set out here before the packages go on sale. If something does not work because of a fault on our side, the Refund and Withdrawal Policy applies whoever you are.

3. How learners join your courses

For each course, you choose how learners get in:

  • Paid — learners buy the course.
  • Free — anyone with an account may join.
  • Free to take, paid certificate — learners join for nothing and pay only if they want the certificate.
  • Enrolment code — only people holding a code from your organisation may join. Who may use codes is set out in the eligibility policy.
  • You enrol them — learners ask, and you enrol them yourself.

You also choose whether a course is listed in our catalogue and search, or unlisted and reachable only by its link. A new course starts unpublished; it becomes visible only when you publish it.

You can offer a paid course, or a paid certificate, only once paid creator courses are available on Neda eCampus and you have completed the payout set-up described in the Payout Terms. Until then, you can publish free, enrolment-code and creator-enrolled courses.

4. How sales work, and how you are paid

Neda is the seller of your course to learners. You grant us the licence in section 5. We sell access to learners in our own name: their contract is with us, we take their payment, we issue their receipt, and we deal with their consumer rights, including withdrawal and refunds. Your name is shown on the course page, so learners know who made the course.

For each paid course, you set a creator price: the amount you are credited for each sale. We add our margin, and the learner sees one total price. How our margin is calculated will be set out, and agreed with you, before you can sell paid courses. Your workspace shows you, before you publish, what you will be credited and what the learner will pay. We take no margin on courses learners do not pay for.

Who bears the payment provider’s fees, when your earnings become available, and any holding period will be set out, and agreed with you, before you can sell paid courses and before any payout is made. How payouts, refunds and chargebacks work in practice is set out in the Payout Terms, which we will bring into line with those terms before paid creator courses go on sale.

Whether a learner is refunded is our decision, made under our Refund and Withdrawal Policy and the law. If we refund a sale, the creator price for that sale is reversed as the Payout Terms describe.

Self-billing

Each time we sell your course, you supply us with a licence and we owe you the creator price. Rather than ask you to invoice us for every sale, you agree that we issue the invoice for that supply on your behalf (self-billing). Each self-billed invoice is sent to you and kept in your workspace. If you disagree with one, tell us within 14 days and we will correct it. You agree to tell us straight away if your tax or VAT status changes, and not to issue your own invoice for a sale we have already self-billed. If you are a consumer creator, or otherwise not in business for tax purposes, we give you a statement of what you were credited instead.

You are responsible for declaring and paying tax on what you earn. We do not deduct tax from your earnings unless the law requires us to, and if it does, we will tell you. We meet any platform reporting duty that applies to us, and if one does, we will tell you what we report about you and when.

5. Your content and the licence you grant

You own your content. You keep every right in it except the ones you grant here. Our licence is not exclusive: you may publish the same content anywhere else, on any terms and at any price. We do not ask you to offer better prices or conditions here than elsewhere.

You grant us a worldwide, non-exclusive licence, with no payment due beyond the creator price for paid sales, to:

  • host, store, copy and back up your content;
  • convert and format it so that it works on our platforms and devices — technical changes only, never changes to what it says;
  • display, stream and make it available to learners, and sell access to it;
  • use the course title, description, images, your name and any logo you provide to list and promote the course on Neda eCampus and in Neda’s own communications; and
  • pass on to the learners who enrol the right to use the course for their own learning.

We do not offer your course through any other marketplace, reseller or affiliate programme, and we will not do so without your agreement.

One part of the licence survives everything. For learners who have already enrolled in a course, you grant us a perpetual, irrevocable, worldwide licence, which we may pass on to those learners, to keep providing that course to them — including after a renewal is not paid, after the course is archived, after this agreement ends and after your account is closed. We need this because we have promised those learners continued access (Terms of Service, section on access). Without it, keeping that promise would infringe your copyright, and breaking it would breach our contract with them. The licence ends for a course only when the course is permanently deleted under the Archival and Retention Policy, or when we have to remove it for a legal reason.

If you let learners download your materials, the same licence allows them to keep those files for their own learning.

6. Neda Creator and your projects

The courses and projects you build in Neda Creator are your content. We claim no ownership of them. You give us the licence we need to store, process, back up and display them so that Neda Creator works, and to publish them where you tell us to. Section 5 applies once you publish a project as a course on Neda eCampus.

Neda Creator itself — the software, and the templates, themes and components we provide — remains ours or our licensors’. You may use them as part of courses you build with Neda Creator, including in course packages you download or export from it, wherever you use those courses. Some components are open-source software or fonts under their own licences; nothing in this agreement limits the rights those licences give you.

You may invite co-creators to help build a course. Any limit on how many you can invite will be set out here. You are responsible for who you invite. A co-creator can work on course content; a co-creator does not get access to the learners, submissions or grades in your courses.

Before your Neda Creator access ends, we will tell you what happens to your projects: how long they are kept, whether you can still open or export them, and when they are deleted. We will not delete your projects without telling you first and giving you a chance to take a copy. If you are a consumer creator, you can in any case ask for the content you created, free of charge and in a commonly used, machine-readable format.

7. AI assistants and Neda Creator

Neda Creator is built so that people design and teach courses. AI tools can help with parts of that work; you remain the author, and your judgement decides what reaches learners.

Neda Creator may let you connect an AI assistant of your choice to your workspace, so that the assistant can read your Neda Creator projects while you work with it. If you do:

  • It is your choice, and it is optional. Nothing in Neda Creator requires an AI assistant, and nothing is sent to one unless you set up the connection yourself.
  • Your content goes to the provider you chose. The assistant’s provider receives the content the assistant reads, under your own agreement with that provider and its privacy terms. We are not a party to that agreement and do not control what the provider does. Read its terms before you connect.
  • The connection is limited. It gives access to your Neda Creator projects only, not to learner records on the learning platform. A connection code expires automatically after a limited period. Removing the connection in your assistant stops it being used; if you think a code has been exposed, tell us and we will invalidate it.
  • Keep other people’s personal data out of it. Do not connect an assistant to a project that contains personal data about learners or anyone else, and never put learner data into an AI tool. The Data Processing Terms forbid it.

You are responsible for anything an AI tool helped you produce, as if you had written it yourself. AI output can be wrong, out of date, biased, or close to someone else’s work. Before you publish, check it for accuracy, for rights in it, for accessibility, and against the content standards. Where it would matter to your learners that AI played a substantial part in a course, we encourage you to tell them.

We do not use your content, or your learners’ data, to train AI models.

8. What you promise about your content

You confirm that:

  • you own your content or hold all the rights needed to grant the licences in this agreement, including for anything an AI tool helped produce and anything your co-creators added;
  • it does not infringe anyone’s copyright, trademark, privacy or other rights;
  • it is lawful in Austria and in the countries you aim it at, and it meets the Acceptable Use and Content Standards; and
  • anything you say on a course page about accreditation, recognition, qualifications or outcomes is true and you can back it up. You will not describe a certificate as a qualification, licence or academic award unless you are entitled to issue one.

If you are a business creator and a third party brings a claim against us arising from your content or from a breach of these promises, you will indemnify us for the resulting loss, including reasonable legal costs. This applies only if we tell you about the claim promptly, let you take part in defending it, and do not settle it in a way that admits fault on your behalf without your agreement.

If you are a consumer creator, you do not give that indemnity. You are responsible to us only as the law provides — that is, for loss you cause by breaching these promises through your own fault.

9. Content standards

What may not be published on Neda eCampus, how anyone can report content, and the steps we take, are set out in the Acceptable Use and Content Standards. Rights holders use the Copyright and takedown procedure. We do not check content before it is published, and we do not monitor it proactively; we act on reports and on what we come across while running the platform.

10. Learners and their data

You will see the names, progress, submissions and grades of learners enrolled in your own courses, because teaching needs it. We are responsible for that data (in data-protection terms, its controller), and you may use it only on our behalf and on the terms in Part A of the Data Processing Terms. In short: you use it only to teach your course on Neda eCampus; you do not use it for marketing, add learners to your own lists, or pass it to anyone else, including AI tools; you keep it secure; and you tell us within 24 hours if you learn of any unauthorised access to it.

If your organisation brings its own learners — through enrolment codes, by enrolling them yourself, or by commissioning a course — and uses their records for its own purposes, Part B of the Data Processing Terms applies to that use instead.

11. Who can see what data

  • You can see the learner information described in section 10 for your own courses, your sales and earnings, and your self-billed invoices.
  • We can see all data on the platform, including your courses, your learners’ records and your sales, because we run the platform and sell the courses. We use it only to provide and secure the service, meet our legal duties and deal with disputes.
  • Other creators cannot see your learners, your sales or your earnings, and we do not share them with anyone except as our Privacy Policy describes.

12. If we restrict or remove something

Depending on how serious a problem is, we may ask you to change something, hide content while it is fixed, remove content, suspend a course, restrict your creator access or, for serious or repeated breaches, end this agreement (section 15).

We tell you why

When we restrict or remove anything of yours, we tell you in writing, by email, at the latest when the measure takes effect:

  • what we did, to what, and for how long;
  • the facts we relied on, including whether we acted on a report from someone else;
  • which rule in this agreement or its policies, or which law, the decision is based on;
  • whether any automated means were used (today, none are: a person makes every decision); and
  • how you can challenge it.

We leave something out only where the law forbids us to tell you. We do not tell you who reported you unless they agreed, or the law requires it.

How to challenge a decision

Reply to our email, or write to info@neda-els.com, within six months of the decision, saying why you think it is wrong. It costs nothing. A person who was not involved in the original decision reviews it and answers in writing, with reasons, within 14 days. If we got it wrong, we reverse the decision and restore what we removed without undue delay. You can also take the matter to court; using this process does not stop you.

This is our internal complaint-handling system for the purposes of the EU Digital Services Act and the EU Platform-to-Business Regulation. We offer it to every creator, business or consumer.

13. How courses are ranked

  • Catalogue: listed courses are shown by date of publication, newest first.
  • Search: results are ordered by how well a course’s title and description match the words searched for.
  • Recently added: this section of the front page shows the newest listed courses.
  • Featured courses: this section is labelled as such and is an editorial choice we make, for example to show a range of subjects.
  • Unlisted courses do not appear in the catalogue, search or front-page sections.

We do not accept payment for ranking or for featuring, and what you pay us has no effect on where your courses appear. Neda’s own courses appear in the same catalogue and are ranked by the same rules; we may feature them, as we may feature any course. If we change how ranking works, we will update this section first.

14. Changes to this agreement

We will give you at least 30 days’ notice by email of any change to this agreement or the pages that form part of it, with a summary of what changed. You may end the agreement before the change takes effect, at no cost. A change never applies to the past.

A change may take effect sooner only where the law requires it, or where we must act quickly against an unforeseen danger to the security of the platform or its users. We will say which applies.

If you are a consumer creator, we change the agreement only for a valid reason — a change in the law, a security need, or a change in the service we can reasonably expect you to accept — and never so as to reduce what you have already paid for during a paid term.

15. Ending the agreement

You may end this agreement at any time by cancelling your plan and archiving or deleting your courses, or by telling us. What happens to fees already paid follows section 2.

We may end this agreement by giving you at least 30 days’ notice by email, with our reasons. We may end it with shorter notice, or none, only where the law requires us to, where there is an imperative legal reason, or where you have repeatedly breached this agreement; we will still give you our reasons, unless the law forbids it. You can challenge our decision under section 12.

When the agreement ends, for any reason:

  • learners already enrolled keep their access under the surviving licence in section 5;
  • your courses are archived, and the Archival and Retention Policy applies;
  • you are paid anything you are owed under the Payout Terms;
  • you may ask us for a content-only copy of your courses (it contains no learner data), and section 6 applies to your Neda Creator projects;
  • you delete any copies of learner data you hold, as the Data Processing Terms require; and
  • if we ended it for a reason other than your breach, we refund the unused part of any fee you paid in advance.

16. Liability

Nothing in this agreement limits liability that cannot be limited by law, including liability for death or personal injury, for intent or gross negligence, or under product-liability law.

If you are a business creator, subject to that: neither of us is liable to the other for loss of profit, lost business or indirect loss, and our total liability to you under this agreement in any twelve-month period is limited to the fees you paid us in the twelve months before the event that caused the loss.

If you are a consumer creator, we are liable to you as the law provides. We are not liable for slight negligence, except for personal injury and except for your statutory rights where a service we provide is faulty, which this agreement does not limit.

We aim to keep Neda eCampus and Neda Creator available continuously, but we cannot guarantee it. We carry out maintenance, and things outside our control fail. We will give notice of planned maintenance where we reasonably can.

17. Law and courts

This agreement is governed by Austrian law, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.

If you are a business creator, the courts of the court with subject-matter jurisdiction for 3170 Hainfeld, Austria have jurisdiction.

If you are a consumer creator, you keep the protection of the mandatory consumer laws of the country where you live, and you may bring a claim in the courts there. We may bring a claim against you only in the courts of the country where you live.

18. Notices and general terms

We send notices under this agreement by email to the address on your account, so please keep it up to date. You can send notices to us at info@neda-els.com or through the contact form.

This agreement, with the pages named at the top, is the whole agreement between us about publishing on Neda eCampus and using Neda Creator. If one clause turns out to be unenforceable, the rest still applies. You may not transfer this agreement to someone else without our agreement. We may transfer it to a business that takes over Neda eCampus, if we tell you beforehand and your rights under it are not reduced; you may end the agreement if you do not want to continue with the new provider.
